1. Acceptance of Terms

By creating an account or using any Thordin AI service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not create an account or use our services. These Terms apply to all users, including clients, visitors, and anyone who accesses or uses our platform.

2. Services Provided

Thordin AI provides AI-powered automation, consulting, and software services as agreed in your service plan or statement of work. The specific scope, deliverables, and pricing are defined in your subscription or engagement agreement. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Acceptable Use

You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations. You must not use our platform or services to:

— Violate any local, state, national, or international law or regulation.
— Transmit or distribute harmful, offensive, fraudulent, defamatory, or otherwise objectionable content.
— Attempt to gain unauthorized access to any systems, accounts, or data.
— Reverse-engineer, decompile, or disassemble any part of our platform.
— Resell, sublicense, or redistribute our services without written permission.
— Use our services to train competing AI models or products.
— Engage in any activity that could damage, disable, or impair our infrastructure or services.

We reserve the right to suspend or terminate access for any violation of this section without refund.

4. Payment & Refund Policy

All fees are stated in USD and are due as specified in your subscription or invoice. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). One-time project fees are due per the timeline stated in your invoice.

All sales are final. We do not offer refunds for subscription periods already billed, partial months, or unused portions of a service plan. If you believe a charge was made in error, contact us within 14 days of the charge and we will review it. Chargebacks initiated without prior contact may result in immediate account suspension.

We reserve the right to change pricing with at least 30 days' written notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

5. Service Limitations

Our services are provided on a best-effort basis. We do not guarantee specific business outcomes, results, revenue increases, or performance improvements from the use of our services. AI-generated outputs, automations, and recommendations are tools to assist your operations — final decisions and their consequences remain your responsibility.

Usage may be subject to fair-use limits, rate limits, or resource caps depending on your plan. Excessive usage that degrades service for other clients may be throttled or subject to additional charges.

6. Uptime & Availability

We aim to maintain high availability for our platform but do not guarantee uninterrupted, error-free service. Scheduled maintenance, third-party outages, infrastructure failures, or events beyond our reasonable control may result in downtime. We are not liable for any loss or damage arising from service interruptions.

Uptime commitments, if any, are stated separately in a signed Service Level Agreement (SLA). Without a signed SLA, no uptime guarantee is implied.

7. AI Output Disclaimer

Outputs generated by AI tools provided through our platform — including text, analysis, recommendations, automations, and code — are generated by probabilistic models and may contain errors, inaccuracies, or outdated information. AI outputs do not constitute legal, financial, medical, or professional advice of any kind.

You are solely responsible for reviewing, validating, and applying any AI-generated output before acting on it. We expressly disclaim all liability for decisions made based on AI outputs without independent human review.

8. Intellectual Property

All platform software, designs, branding, and documentation are the intellectual property of Thordin AI. You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes only.

Content you provide to us (data, documents, materials) remains your property. By submitting content, you grant us a limited license to process it solely for the purpose of delivering our services to you.

9. Confidentiality & Data

We treat your business data and information with confidentiality. We will not sell your data to third parties. Data may be processed by trusted sub-processors (e.g., cloud infrastructure, AI model providers) as required to deliver services. 10. Limitation of Liability

To the fullest extent permitted by law, Thordin AI, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, business interruption, or reputational harm — arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or your use of our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

11. Account Termination

You may cancel your account at any time by contacting us. Cancellation takes effect at the end of the current billing period; no pro-rated refunds are issued for the remaining period.

We may suspend or terminate your account immediately and without notice if you: violate these Terms, engage in fraudulent or illegal activity, fail to pay outstanding invoices, or take any action that poses a risk to our platform or other clients. Upon termination, your access to the platform and all associated data will be revoked. We may retain certain data as required by law or for legitimate business purposes.

12. Indemnification

You agree to indemnify and hold harmless Thordin AI and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English in Jacksonville, FL. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-platform notice at least 14 days before changes take effect. Continued use of our services after that date constitutes acceptance of the revised Terms.
